Supplier Agreement

This Supplier Agreement ("Agreement") governs the relationship between ParsaFood Global ("ParsaFood Global", "ParsaFood", "we", "our", or "us") and any company or individual ("Supplier") listing products or conducting business through the ParsaFood Global Marketplace.

By registering as a Supplier, listing products, or using the Marketplace, the Supplier agrees to comply with this Agreement.

1. Purpose

ParsaFood Global operates an international B2B marketplace that connects Suppliers with Buyers worldwide.

Unless expressly agreed in writing, ParsaFood Global acts solely as a marketplace operator and business facilitator and is not automatically the seller, exporter, importer, manufacturer, distributor, customs broker, logistics provider, payment guarantor, or contracting party.

2. Supplier Eligibility

The Supplier represents and warrants that:

• it is legally established and authorized to conduct business;
• it has full authority to sell the listed products;
• all required licenses, registrations, permits, and certifications are valid;
• all information submitted to ParsaFood Global is true, complete, and accurate.

The Supplier shall immediately notify ParsaFood Global of any material changes affecting its business or products.

3. Supplier Responsibilities

The Supplier is solely responsible for:

• product ownership;
• product quality;
• product safety;
• product specifications;
• product packaging;
• labeling;
• shelf life;
• pricing;
• inventory availability;
• export documentation;
• certificates;
• compliance with all applicable laws and regulations.

The Supplier is fully responsible for fulfilling all contractual obligations to Buyers.

4. Product Listings

The Supplier shall ensure that all listings are accurate, lawful, and up to date.

The Supplier shall not publish:

• false or misleading information;
• counterfeit products;
• prohibited goods;
• products that infringe intellectual property rights;
• misleading photographs;
• inaccurate certifications.

ParsaFood Global reserves the right to edit, suspend, or remove any listing at its sole discretion.

5. Pricing

The Supplier is solely responsible for the prices displayed on the Marketplace.

Prices should clearly specify, where applicable:

• applicable Incoterms;
• currency;
• minimum order quantity (MOQ);
• packaging details;
• validity period.

The Supplier may update prices at any time.

6. Orders

Suppliers are responsible for reviewing and responding to Buyer inquiries.

No order shall become binding until accepted by the Supplier or otherwise confirmed in writing.

The Supplier may decline any inquiry or order request unless prohibited by law or an existing written agreement.

7. Product Compliance

The Supplier warrants that all products comply with all applicable laws and regulations in the country of origin.

Where required, the Supplier is responsible for providing accurate documentation, including but not limited to:

• health certificates;
• phytosanitary certificates;
• certificates of origin;
• laboratory reports;
• export permits;
• food safety documentation.

ParsaFood Global does not independently verify these documents.

8. Shipping Responsibilities

Unless otherwise agreed in writing, the Supplier is solely responsible for:

• preparing shipments;
• export customs clearance;
• loading;
• packaging;
• export documentation;
• compliance with agreed Incoterms.

9. Direct Transactions

Where a Buyer purchases directly from the Supplier:

• the Supplier is solely responsible for the transaction;
• the Supplier is solely responsible for product quality;
• the Supplier is solely responsible for shipment;
• the Supplier is solely responsible for payment arrangements;
• the Supplier is solely responsible for after-sales obligations.

ParsaFood Global shall not be responsible for any dispute arising from such transactions.

10. Transactions Managed by ParsaFood Global

Where ParsaFood Global expressly agrees in writing to act as Seller, Exporter, or Trading Intermediary, separate commercial agreements shall apply.

Nothing in this Agreement automatically creates such a relationship.

11. Intellectual Property

The Supplier warrants that all trademarks, product names, logos, images, packaging, and marketing materials uploaded to the Marketplace are lawfully owned or licensed.

The Supplier shall fully indemnify ParsaFood Global against any intellectual property claims.

12. Indemnification

The Supplier agrees to defend, indemnify, and hold harmless ParsaFood Global, its affiliates, officers, employees, consultants, and representatives against any claims, liabilities, damages, losses, penalties, costs, or legal expenses arising from:

• defective products;
• inaccurate product information;
• regulatory violations;
• product recalls;
• intellectual property infringement;
• breach of contract;
• negligence;
• fraud;
• violations of applicable laws.

13. Limitation of Liability

To the fullest extent permitted by law, ParsaFood Global shall not be liable for:

• lost profits;
• indirect damages;
• consequential damages;
• business interruption;
• Buyer defaults;
• shipping delays;
• customs actions;
• government restrictions;
• sanctions;
• product recalls;
• Supplier losses;
• reputational damage.

If ParsaFood Global is held legally liable despite this Agreement, its total liability shall never exceed the service fees actually received by ParsaFood Global for the specific transaction.

14. Suspension and Termination

ParsaFood Global may, at its sole discretion and without prior notice:

• suspend Supplier accounts;
• terminate Supplier accounts;
• remove product listings;
• reject new listings;
• restrict Marketplace access.

This may occur where ParsaFood Global reasonably believes that the Supplier has violated this Agreement or applicable law.

15. Governing Law

This Agreement shall be governed by the laws applicable to the jurisdiction designated by ParsaFood Global, unless mandatory laws require otherwise.

16. Amendments

ParsaFood Global reserves the right to amend this Supplier Agreement at any time.

Updated versions become effective immediately upon publication on the website.

Continued use of the Marketplace constitutes acceptance of the revised Agreement.
