Marketplace Terms

These Marketplace Terms ("Terms") govern the use of the Marketplace operated by ParsaFood Global ("ParsaFood Global", "ParsaFood", "we", "our", or "us"). By accessing or using the Marketplace, you agree to be legally bound by these Terms.

1. Purpose of the Marketplace

ParsaFood Global operates an international B2B marketplace designed to connect buyers, suppliers, manufacturers, exporters, importers, distributors, and wholesalers.

The Marketplace serves primarily as a communication and business facilitation platform.

Unless expressly agreed in writing, ParsaFood Global is not automatically the seller, buyer, exporter, importer, manufacturer, distributor, logistics provider, customs broker, payment processor, insurer, or contracting party in transactions conducted through the Marketplace.

2. Independent Transactions

Where a Buyer purchases directly from a Supplier:

• The purchase contract exists solely between the Buyer and the Supplier.
• ParsaFood Global is not a party to that contract.
• ParsaFood Global assumes no responsibility for negotiating, executing, or enforcing the agreement.
• All commercial obligations remain exclusively between the Buyer and the Supplier.

3. Transactions Managed by ParsaFood Global

In selected transactions, ParsaFood Global may expressly agree in writing to act as:

• Seller
• Exporter
• Procurement Agent
• Trading Intermediary
• Commercial Representative

Only those transactions specifically confirmed in writing shall be governed by separate contractual agreements.

No listing or communication on the Marketplace shall be interpreted as creating such a relationship.

4. Supplier Responsibilities

Each Supplier is solely responsible for:

• Company registration and legal status
• Product ownership
• Product quality
• Product specifications
• Product availability
• Pricing
• Packaging
• Labeling
• Certifications
• Export licenses
• Compliance with applicable laws
• Accuracy of all information published

ParsaFood Global does not verify or guarantee Supplier-provided information.

5. Buyer Responsibilities

Each Buyer is solely responsible for:

• Conducting appropriate due diligence
• Verifying Supplier identity
• Confirming product specifications
• Confirming certifications
• Reviewing pricing
• Reviewing payment conditions
• Obtaining import permits
• Complying with local regulations
• Determining product suitability

Failure to perform such verification shall not create any liability for ParsaFood Global.

6. Product Listings

Product listings, descriptions, photographs, certifications, specifications, availability, and pricing may be provided by Suppliers or other third parties.

ParsaFood Global does not warrant that any listing is:

• Accurate
• Complete
• Current
• Error-free
• Available
• Suitable for any particular purpose

Buyers should independently verify all information before entering into any transaction.

7. Pricing

Prices displayed on the Marketplace:

• may change without notice;
• may be indicative only;
• may exclude shipping costs;
• may exclude customs duties;
• may exclude taxes;
• may exclude insurance;
• may exclude banking charges;
• may exclude inspection fees.

A displayed price shall not constitute a legally binding offer unless confirmed in writing.

8. Buyer Requests

Submitting an inquiry, quotation request, or purchase request does not create a binding agreement.

Suppliers and ParsaFood Global reserve the right to decline or ignore any request without providing a reason.

9. Communications Between Users

Users are solely responsible for all negotiations, discussions, agreements, documents, and communications exchanged through or outside the Marketplace.

ParsaFood Global accepts no responsibility for:

• verbal agreements;
• private communications;
• inaccurate statements;
• misleading information;
• unauthorized promises;
• external communications.

10. Shipping and Logistics

Where ParsaFood Global only assists in arranging logistics, it shall not be responsible for:

• freight carriers;
• shipping delays;
• damaged goods;
• lost cargo;
• customs inspections;
• customs seizures;
• storage charges;
• demurrage;
• transportation failures.

Risk and responsibility transfer according to the applicable Incoterms agreed by the contracting parties.

11. Payments

For direct Buyer-Supplier transactions, all payments are made directly between the parties unless otherwise agreed.

Where ParsaFood Global offers payment facilitation or escrow services, separate payment terms shall apply.

12. Disputes

Any dispute concerning:

• product quality;
• quantity;
• specifications;
• payment;
• shipment;
• customs;
• delays;
• damages;
• warranties;
• contractual obligations;

shall be resolved directly between the Buyer and the Supplier.

ParsaFood Global has no obligation to investigate, mediate, arbitrate, or compensate either party unless expressly agreed in writing.

13. Limitation of Liability

To the fullest extent permitted by applicable law, ParsaFood Global shall not be liable for:

• direct damages;
• indirect damages;
• incidental damages;
• consequential damages;
• loss of profits;
• loss of business opportunities;
• loss of reputation;
• exchange rate fluctuations;
• supplier default;
• buyer default;
• shipping delays;
• customs actions;
• regulatory restrictions;
• sanctions;
• force majeure events.

If ParsaFood Global is held legally liable despite these Terms, its total liability shall never exceed the service fees actually received by ParsaFood Global for the specific transaction giving rise to the claim.

14. Right to Remove Listings and Suspend Accounts

ParsaFood Global reserves the right, at its sole discretion and without prior notice, to:

• remove any product listing;
• reject any listing;
• edit marketplace content;
• suspend user accounts;
• terminate user accounts;
• restrict access to the Marketplace.

15. Amendments

ParsaFood Global may modify these Marketplace Terms at any time.

The revised version becomes effective immediately upon publication on the website.

Continued use of the Marketplace constitutes acceptance of the updated Terms.
