Buyer Agreement

This Buyer Agreement ("Agreement") governs the relationship between ParsaFood Global ("ParsaFood Global", "ParsaFood", "we", "our", or "us") and any individual or business ("Buyer") using the ParsaFood Global platform to search for products, request quotations, negotiate purchases, or complete international trade transactions.

By using the Marketplace or purchasing products through ParsaFood Global, the Buyer agrees to comply with this Agreement.

1. Purpose

ParsaFood Global operates an international B2B marketplace connecting Buyers with Suppliers worldwide.

Unless expressly agreed in writing, ParsaFood Global acts only as a marketplace operator and trade facilitator and is not automatically the seller, manufacturer, exporter, importer, logistics provider, payment guarantor, or contracting party.

2. Buyer Eligibility

The Buyer confirms that:

• it is legally authorized to enter into binding commercial agreements;
• all information provided is accurate and complete;
• it has the legal authority to import the requested products;
• it will comply with all applicable laws and regulations.

3. Buyer Responsibilities

The Buyer is solely responsible for:

• verifying the Supplier's identity and credibility;
• reviewing product specifications;
• confirming product suitability;
• obtaining import licenses and permits;
• ensuring compliance with local laws;
• arranging customs clearance where applicable;
• reviewing shipping terms;
• reviewing payment conditions before confirming an order.

Failure to perform appropriate due diligence shall not create liability for ParsaFood Global.

4. Product Information

Product descriptions, specifications, certifications, photographs, pricing, and availability may be provided by Suppliers.

ParsaFood Global does not guarantee that such information is:

• accurate;
• complete;
• current;
• error-free;
• suitable for the Buyer's intended purpose.

The Buyer is responsible for independently verifying all commercial and technical information before placing an order.

5. Quotations

Any quotation provided through the Marketplace:

• is non-binding unless confirmed in writing;
• may change without notice;
• may exclude taxes;
• may exclude freight;
• may exclude customs duties;
• may exclude insurance;
• may exclude banking fees;
• may exclude inspection costs.

6. Orders

Submitting a purchase request or inquiry does not create a legally binding agreement.

A contract becomes effective only after written confirmation by the Supplier or, where applicable, by ParsaFood Global.

7. Payments

Payment terms vary depending on each transaction.

Where the Buyer purchases directly from a Supplier, payments shall be made according to the agreement between the Buyer and the Supplier.

Where ParsaFood Global acts as the Seller or Trading Intermediary, separate Payment Terms shall apply.

Failure to make payment on time may result in:

• order cancellation;
• storage charges;
• administrative costs;
• legal recovery proceedings.

8. Shipping and Delivery

Delivery schedules are estimates only unless expressly agreed otherwise.

ParsaFood Global shall not be liable for delays caused by:

• Suppliers;
• freight companies;
• ports;
• customs authorities;
• inspections;
• weather;
• sanctions;
• government actions;
• force majeure events.

Risk transfers according to the applicable Incoterms agreed by the contracting parties.

9. Inspection

The Buyer is encouraged to arrange independent pre-shipment inspections.

Unless expressly agreed otherwise, ParsaFood Global does not guarantee:

• product quality;
• product conformity;
• packaging condition;
• shelf life;
• laboratory results;
• certifications.

10. Direct Supplier Transactions

Where the Buyer contracts directly with a Supplier:

• ParsaFood Global is not responsible for the Supplier's performance;
• ParsaFood Global is not responsible for payment disputes;
• ParsaFood Global is not responsible for shipment disputes;
• ParsaFood Global is not responsible for product quality disputes.

Any dispute shall be resolved directly between the Buyer and the Supplier.

11. Transactions Managed by ParsaFood Global

Where ParsaFood Global expressly agrees in writing to act as Seller or Trading Intermediary, the transaction shall be governed by separate commercial agreements, invoices, payment terms, and shipping arrangements.

12. Limitation of Liability

To the fullest extent permitted by law, ParsaFood Global shall not be liable for:

• loss of profits;
• indirect damages;
• consequential damages;
• business interruption;
• customs delays;
• import restrictions;
• exchange rate fluctuations;
• Supplier default;
• Buyer default;
• transportation delays;
• regulatory actions;
• product recalls.

If liability is established by a final court judgment, the total liability of ParsaFood Global shall not exceed the service fees actually received by ParsaFood Global in connection with the specific transaction.

13. Indemnification

The Buyer agrees to indemnify and hold harmless ParsaFood Global, its directors, employees, consultants, affiliates, and representatives against any claims, liabilities, damages, losses, costs, or legal expenses arising from:

• misuse of the Marketplace;
• breach of this Agreement;
• violation of applicable laws;
• disputes with Suppliers;
• infringement of third-party rights.

14. Governing Law

This Agreement shall be governed by the laws applicable to the legal jurisdiction designated by ParsaFood Global, unless mandatory laws require otherwise.

15. Amendments

ParsaFood Global may update this Buyer Agreement at any time.

The updated version becomes effective immediately upon publication on the website.

Continued use of the Marketplace constitutes acceptance of the revised Agreement.
