At ParsaFood Global, we strive to promote fair, transparent, and professional business relationships between buyers and suppliers. While we encourage parties to resolve disagreements amicably, ParsaFood Global is not a court, arbitration institution, legal representative, or judicial authority and does not act as a guarantor of any commercial transaction unless expressly agreed in writing.
This Dispute Resolution Policy explains how commercial disputes may be handled when they arise through the use of our platform.
Scope
This policy applies to disputes arising from the use of the ParsaFood Global platform, including but not limited to:
- Product quality
- Product specifications
- Quantity discrepancies
- Delivery delays
- Shipping issues
- Payment disputes
- Contract interpretation
- Damaged goods
- Missing goods
- Supplier performance
- Buyer obligations
- Communication disputes
- Marketplace policy violations
This policy does not replace applicable laws or legally binding agreements between the parties.
Direct Resolution
Buyers and suppliers are expected to make reasonable efforts to resolve disputes directly before requesting assistance from ParsaFood Global.
Parties should:
- Communicate professionally.
- Review the purchase agreement.
- Review invoices and payment records.
- Review shipping documents.
- Exchange supporting evidence.
- Attempt to negotiate a mutually acceptable solution.
Many commercial disputes can be resolved through direct communication.
Requesting Platform Assistance
Where direct negotiations fail, users may request that ParsaFood Global facilitate communication between the parties.
A dispute request should include:
- Order or inquiry reference
- Names of the parties
- Description of the dispute
- Timeline of events
- Relevant contracts
- Purchase orders
- Invoices
- Payment confirmations
- Shipping documents
- Inspection reports
- Product photographs
- Any other supporting evidence
Incomplete submissions may delay or prevent review.
ParsaFood Global's Role
Where assistance is requested, ParsaFood Global may, at its sole discretion:
- Facilitate communication between the parties.
- Request additional documentation.
- Clarify platform records.
- Review information submitted by both parties.
- Encourage settlement discussions.
- Recommend practical solutions.
- Suspend marketplace activities where appropriate.
- Take action regarding policy violations.
Unless expressly agreed in writing, ParsaFood Global does not:
- Decide legal liability.
- Determine fault.
- Act as an arbitrator.
- Issue legally binding decisions.
- Award damages.
- Collect payments.
- Enforce contracts.
- Guarantee settlements.
Any assistance provided is voluntary and intended solely to facilitate communication.
Evidence
The following types of evidence may be considered during a review:
- Signed contracts
- Purchase orders
- Proforma invoices
- Commercial invoices
- Bills of lading
- Air waybills
- Packing lists
- Customs documentation
- Payment confirmations
- Inspection reports
- Laboratory reports
- Product photographs
- Videos
- Email correspondence
- Platform communications
Users are responsible for ensuring that submitted evidence is accurate and authentic.
Independent Inspections
For disputes involving product quality or quantity, buyers and suppliers are encouraged to obtain independent inspections from recognized inspection companies before shipment or immediately upon arrival of the goods.
Inspection costs are generally borne by the party requesting the inspection unless otherwise agreed in writing.
Transactions Conducted Through Suppliers
Where a buyer purchases directly from an independent supplier through the marketplace:
- The contract exists solely between the buyer and the supplier.
- ParsaFood Global is not a contracting party.
- Payment obligations remain between the buyer and supplier.
- Product warranties remain the supplier's responsibility.
- Legal claims should generally be directed to the contracting party.
ParsaFood Global assumes no responsibility for the performance of contracts entered into directly between users.
Transactions Conducted by ParsaFood Global
Where ParsaFood Global is expressly identified in a written agreement as the seller of record or an authorized intermediary:
- The applicable sales contract or service agreement shall govern the relationship.
- Disputes will be handled in accordance with the terms of the relevant agreement.
- Additional procedures may apply depending on the services provided.
Refunds and Compensation
Unless otherwise required by law or agreed in writing:
- ParsaFood Global does not issue refunds for transactions conducted directly between buyers and suppliers.
- ParsaFood Global is not obligated to compensate either party for commercial losses.
- Any compensation must be agreed directly between the contracting parties or awarded by a competent legal authority.
Mediation
Where both parties voluntarily agree, ParsaFood Global may attempt to facilitate an informal mediation process.
Any recommendations made during mediation:
- Are non-binding.
- Do not constitute legal advice.
- Do not create legal obligations.
- May be accepted or rejected by either party.
Arbitration and Court Proceedings
If a dispute cannot be resolved through negotiation or voluntary mediation:
- The parties may pursue arbitration if required by their contract.
- The parties may submit the dispute to a court of competent jurisdiction.
- Applicable law and jurisdiction shall be determined by the relevant agreement or governing legal principles.
ParsaFood Global is not responsible for initiating or funding legal proceedings.
Platform Enforcement
Separate from any commercial dispute, ParsaFood Global reserves the right to:
- Suspend user accounts.
- Remove product listings.
- Restrict platform access.
- Remove misleading information.
- Investigate policy violations.
- Terminate accounts engaged in fraud or abuse.
These actions are administrative measures intended to protect the platform and do not determine legal liability.
User Responsibilities
All users are responsible for:
- Negotiating contracts carefully.
- Reviewing payment terms.
- Verifying trading partners.
- Maintaining transaction records.
- Obtaining inspections where appropriate.
- Complying with applicable laws.
- Acting in good faith during dispute resolution.
Failure to exercise reasonable commercial diligence may increase transaction risk.
Limitation of Liability
To the fullest extent permitted by applicable law, ParsaFood Global shall not be liable for:
- Contract breaches.
- Payment defaults.
- Product defects.
- Delivery delays.
- Shipping losses.
- Customs issues.
- Commercial misunderstandings.
- Currency fluctuations.
- Regulatory restrictions.
- Supplier misconduct.
- Buyer misconduct.
- Lost profits.
- Consequential damages.
- Indirect financial losses.
ParsaFood Global's involvement in any dispute does not create a legal duty to resolve the matter or compensate any party.
Governing Law
Unless otherwise required by mandatory law or expressly agreed in writing, the use of the ParsaFood Global platform and this Dispute Resolution Policy shall be governed by the laws specified in the applicable Terms & Conditions. Any disputes concerning the interpretation or enforcement of this policy shall be subject to the jurisdiction designated in those Terms, except where mandatory consumer or commercial laws provide otherwise.
Policy Updates
ParsaFood Global reserves the right to amend this Dispute Resolution Policy at any time to reflect changes in applicable laws, operational requirements, or marketplace practices. Continued use of the platform after updates are published constitutes acceptance of the revised policy.
Final Notice
ParsaFood Global is committed to encouraging fair and efficient dispute resolution while maintaining a neutral position between buyers and suppliers. Except where expressly agreed in a separate written contract, ParsaFood Global acts solely as a marketplace operator and service provider and is not responsible for enforcing private agreements, determining legal liability, or guaranteeing the outcome of commercial transactions. Users remain solely responsible for protecting their legal rights, obtaining independent professional advice where appropriate, and complying with all applicable contractual and legal obligations.
